Corporate Counsel

TwinStrand is looking for an exceptional legal expert to join our team as Corporate Counsel. At TwinStrand we see the legal team as a key contributor to the company’s value, helping to identify opportunities, avoid risks, leverage our intellectual property, and negotiate favorable contract terms as we introduce game-changing accuracy to DNA sequencing applications across medicine and research. As an expert in contracts, the Corporate Counsel will have primary responsibility for contract drafting and review, as well as organizing, managing, and tracking of contract documents and obligations.  The Corporate Counsel will carry out a variety of contracting tasks to ensure contract terms meet business goals through effective and expeditious review, drafting, and negotiation. This role is responsible for collaborating with various levels of the organization, such as operations, sales and marketing, R&D, finance, and human resources. The Corporate Counsel must efficiently manage a variety of contract types, handling numerous agreements at various stages simultaneously and prioritizing based on business objectives.


  • Draft, edit, and negotiate various contracts including Confidentiality Agreements, Research Agreements, Material Transfer Agreements, Master Service Agreements, Statements of Work, Employment and Consulting Agreements, and various other partnering agreements.
  • Implement best practices and ensuring agreements adhere to current law for company’s standard templates, and draft new templates as needed by the business.
  • Interpret key contractual provisions in light of the Company’s business objectives and business operations considerations, as well as legal or regulatory requirements, and advise internal stakeholders on the ramifications of such provisions.
  • Work with outside counsel and other internal and external resources as needed to efficiently perform responsibilities. 
  • Negotiate contract terms with third parties and conduct the back-and-forth review and redlining process for contract documents.
  • Provide drafting and other legal support related to corporate activities such as licensing, partnering, mergers and acquisitions.
  • Keep informed of new laws, regulations, and industry trends affecting the Company.
  • Utilize, maintain, and improve TwinStrand’s internal contract workflow system for prioritizing and tracking contracts under drafting and review.
  • Solicit feedback from internal stakeholders for improvement and optimization of the contract drafting and review process.
  • Implement and manage contract management system to handle organization and maintenance of all company contracts.
  • Take responsibility for tracking and compliance with contractual obligations and deadlines.


  • J.D. degree from an accredited law school required; qualified for in-house practice in Washington, or willingness to become qualified.
  • 5+ years of relevant experience in contract drafting and review in the life sciences field in a law firm and/or corporate legal department; in-house legal department experience preferred.
  • Genomics and/or biotech industry strongly preferred.
  • Entrepreneurial and excited to improve quality and efficiency of Company’s contract process.
